근로복지기본법 시행령 제12조(총회의 개최)

① 법 제35조제4항에 따라 조합의 대표자는 매년 1회 이상 총회를 개최하여야 한다. 다만, 해당 연도에 법 제35조제2항에 따른 의결사항이 없는 경우에는 규약으로 정하는 바에 따라 조합의 운영 상황을 공고함으로써 총회의 개최를 갈음할 수 있다.

② 조합의 대표자는 전체 우리사주조합원(이하 "조합원"이라 한다)의 5분의 1 이상이 총회에 부칠 사항을 명시하여 총회 소집을 요구하였을 때에는 3주 이내에 총회를 개최하여야 한다.

③ 조합의 대표자가 없거나 조합의 대표자가 제2항에 따른 기간 이내에 정당한 사유 없이 총회를 개최하지 않을 때에는 조합의 규약이 정하는 임원이 5일 이내에 총회를 개최해야 한다. 이 경우 그 임원이 의장의 직무를 수행한다. <신설 2025.4.8>

④ 제3항에 따라 총회를 개최해야 할 임원이 제3항에 따른 기간 이내에 총회를 개최하지 않을 때에는 전체 조합원 과반수의 동의를 받은 조합원이 총회를 개최한다. 이 경우 그 조합원이 의장의 직무를 수행한다. <신설 2025.4.8>

⑤ 법 제35조제3항에 따른 대의원회 소집에 관하여는 제2항부터 제4항까지의 규정을 준용한다. 이 경우 "총회"는 "대의원회"로, "조합원"은 "대의원"으로 본다. <개정 2025.4.8>
