보험업법 제28조(보험계약자 총회의 결의 등)

① 보험계약자 총회는 정관의 변경이나 그 밖에 상호회사의 조직에 필요한 사항을 결의하여야 한다.

② 제21조제1항에 따른 결의는 제1항의 결의로 변경할 수 있다. 이 경우 주식회사의 채권자의 이익을 해치지 못한다.

③ 제2항에 따른 변경으로 주주에게 손해를 입히게 되는 경우에는 주주총회의 동의를 받아야 한다. 이 경우 제21조제2항을 준용한다.

④ 제1항의 결의에 관하여는 「상법」 제316조제2항을 준용한다.
