자본시장과 금융투자업에 관한 법률 시행령 제149조(공개매수에 관한 의견표명)

① 공개매수신고서가 제출된 주식등의 발행인이 법 제138조제1항에 따라 공개매수에 관한 의견을 표명하는 경우에는 광고ㆍ서신(전자우편을 포함한다), 그 밖의 문서에 의하여야 한다.

② 제1항에 따른 의견표명에는 공개매수에 대한 발행인의 찬성ㆍ반대 또는 중립의 의견에 관한 입장과 그 이유가 포함되어야 하며, 의견표명 이후에 그 의견에 중대한 변경이 있는 경우에는 지체 없이 제1항에서 정한 방법에 따라 그 사실을 알려야 한다.
