Financial Investment Services and Capital Markets Act, Article 137 (Preparation and Disclosure of Tender Offer Prospectuses)

① 공개매수자(공개매수사무취급자를 포함한다. 이하 이 조에서 같다)는 공개매수를 하고자 하는 경우에는 대통령령으로 정하는 방법에 따라 그 공개매수에 관한 설명서(이하 "공개매수설명서"라 한다)를 작성하여 공개매수공고일에 금융위원회와 거래소에 제출하여야 하며, 이를 총리령으로 정하는 장소에 비치하고 일반인이 열람할 수 있도록 하여야 한다. 이 경우 제134조제2항 각 호 외의 부분 단서를 준용한다. <개정 2008.2.29>

② 공개매수설명서에는 공개매수신고서에 기재된 내용과 다른 내용을 표시하거나 그 기재사항을 누락하여서는 아니 된다.

③ 공개매수자는 공개매수할 주식등을 매도하고자 하는 자에게 제1항에 적합한 공개매수설명서를 미리 교부하지 아니하면 그 주식등을 매수하여서는 아니 된다. 이 경우 공개매수설명서가 제436조에 따른 전자문서의 방법에 따르는 때에는 다음 각 호의 요건을 모두 충족하는 때에 이를 교부한 것으로 본다.
