자본시장과 금융투자업에 관한 법률 제139조(공개매수의 철회 등)

① 공개매수자는 공개매수공고일 이후에는 공개매수를 철회할 수 없다. 다만, 대항공개매수(공개매수기간 중 그 공개매수에 대항하는 공개매수를 말한다)가 있는 경우, 공개매수자가 사망ㆍ해산ㆍ파산한 경우, 그 밖에 투자자 보호를 해할 우려가 없는 경우로서 대통령령으로 정하는 경우에는 공개매수기간의 말일까지 철회할 수 있다.

② 공개매수자는 제1항에 따라 공개매수를 철회하고자 하는 경우에는 철회신고서를 금융위원회와 거래소에 제출하고, 그 내용을 공고하여야 한다. 이 경우 공고의 방법은 제134조제1항에 따른다. <개정 2008.2.29>

③ 공개매수자는 공개매수의 철회신고서를 제출한 경우에는 지체 없이 그 사본을 공개매수를 철회할 주식등의 발행인에게 송부하여야 한다.

④ 공개매수대상 주식등의 매수의 청약에 대한 승낙 또는 매도의 청약(이하 "응모"라 한다)을 한 자(이하 "응모주주"라 한다)는 공개매수기간 중에는 언제든지 응모를 취소할 수 있다. 이 경우 공개매수자는 응모주주에 대하여 그 응모의 취소에 따른 손해배상 또는 위약금의 지급을 청구할 수 없다.
