자본시장과 금융투자업에 관한 법률 제150조(위반 주식등의 의결권행사 제한 등)

① 제147조제1항ㆍ제3항 및 제4항에 따라 보고(그 정정보고를 포함한다)하지 아니한 자 또는 대통령령으로 정하는 중요한 사항을 거짓으로 보고하거나 대통령령으로 정하는 중요한 사항의 기재를 누락한 자는 대통령령으로 정하는 기간 동안 의결권 있는 발행주식총수의 100분의 5를 초과하는 부분 중 위반분에 대하여 그 의결권을 행사하여서는 아니 되며, 금융위원회는 6개월 이내의 기간을 정하여 그 위반분의 처분을 명할 수 있다. <개정 2008.2.29>

② 제147조제1항ㆍ제3항 및 제4항에 따라 주식등의 보유 목적을 발행인의 경영권에 영향을 주기 위한 것으로 보고하는 자는 그 보고하여야 할 사유가 발생한 날부터 보고한 날 이후 5일까지 그 발행인의 주식등을 추가로 취득하거나 보유 주식등에 대하여 그 의결권을 행사할 수 없다.

③ 제2항을 위반하여 주식등을 추가로 취득한 자는 그 추가 취득분에 대하여 그 의결권을 행사할 수 없으며, 금융위원회는 6개월 이내의 기간을 정하여 그 추가 취득분의 처분을 명할 수 있다. <개정 2008.2.29>
