상법 제212조(사원의 책임)

①회사의 재산으로 회사의 채무를 완제할 수 없는 때에는 각 사원은 연대하여 변제할 책임이 있다.

③전항의 규정은 사원이 회사에 변제의 자력이 있으며 집행이 용이한 것을 증명한 때에는 적용하지 아니한다.
