상법 제287조의8(지분의 양도)

① 사원은 다른 사원의 동의를 받지 아니하면 그 지분의 전부 또는 일부를 타인에게 양도하지 못한다.

② 제1항에도 불구하고 업무를 집행하지 아니한 사원은 업무를 집행하는 사원 전원의 동의가 있으면 지분의 전부 또는 일부를 타인에게 양도할 수 있다. 다만, 업무를 집행하는 사원이 없는 경우에는 사원 전원의 동의를 받아야 한다.

③ 제1항과 제2항에도 불구하고 정관으로 그에 관한 사항을 달리 정할 수 있다.
