상법 제305조(주식에 대한 납입)

①회사설립시에 발행하는 주식의 총수가 인수된 때에는 발기인은 지체없이 주식인수인에 대하여 각 주식에 대한 인수가액의 전액을 납입시켜야 한다.

②전항의 납입은 주식청약서에 기재한 납입장소에서 하여야 한다.

③제295조제2항의 규정은 제1항의 경우에 준용한다.
