자본시장과 금융투자업에 관한 법률 제195조(정관의 변경 등)

① 투자회사는 이사회 결의로 정관을 변경할 수 있다. 다만, 정관의 내용 중 다음 각 호의 어느 하나에 해당하는 사항을 변경하고자 하는 경우에는 제201조제2항 본문에 따른 주주총회의 결의를 거쳐야 한다. <개정 2013.5.28>

② 투자회사는 제1항에 불구하고 합병ㆍ분할ㆍ분할합병, 그 밖에 대통령령으로 정하는 사유로 집합투자업자 또는 신탁업자가 변경된 경우에는 이사회 결의 및 주주총회의 결의 없이 정관을 변경할 수 있다.

③ 투자회사는 제1항 또는 제2항에 따라 정관을 변경한 경우에는 인터넷 홈페이지 등을 이용하여 공시하여야 하며, 제1항 단서에 따라 정관을 변경한 경우에는 공시 외에 이를 주주에게 통지하여야 한다.
