근로복지기본법 시행령 제20조(우리사주매수선택권)

① 법 제39조제1항 본문에 따라 우리사주매수선택권을 부여할 수 있는 주식의 총한도를 산정하는 경우에는 다음 각 호의 주식 수를 포함하여 계산한다.

② 법 제39조제6항에서 "대통령령으로 정하는 근속기간"이란 1년을 말한다.

③ 법 제39조제8항 단서에서 "대통령령으로 정하는 기간"이란 주식을 취득한 날부터 3년을 말한다.

④ 우리사주매수선택권을 부여하려는 회사(이하 "우리사주매수선택권 부여회사"라 한다)는 다음 각 호의 사항을 포함하여 조합과 계약을 체결하여야 한다. 이 경우 조합은 해당 계약서를 조합원이 열람할 수 있도록 갖추어 두고, 계약의 주요 내용과 조합원별 우리사주매수선택권 부여 수량 등을 개별 조합원에게 통지하여야 한다. <개정 2014.7.28>

⑤ 우리사주매수선택권의 행사가격은 고용노동부령으로 정하는 평가가격의 100분의 70 이상으로 정하여야 한다. 다만, 주식을 발행하여 지급하는 경우로서 행사가격이 해당 주식의 권면액보다 낮을 때에는 그 권면액을 행사가격으로 한다. <개정 2014.7.28>

⑥ 우리사주매수선택권 부여회사는 제공기간을 3개월, 6개월 또는 1년 단위로 나누어 단위기간별로 행사기간을 정할 수 있으며, 행사기간은 제공기간의 마지막 날 또는 단위기간의 마지막 날부터 7일 이내의 기간으로 하여야 한다. <개정 2014.7.28>

(6) A어 company컴퍼니 granting그^r랜팅 employee엠플로이이 stock스탁 purchase퍼처스 options압션즈 may메이 divide디^v바이드 the^ð디 offering오^f퍼^r링 period피^r리어드 into인투 unit유닛 periods피^r리어즈 of어^v브 three^θ쓰^r리 months,먼^θ쓰 six식스 months,먼^θ쓰 or오 one원 year이어 and앤드 set셋 an앤 exercise엑서사이즈 period피^r리어드 for^f포 each이치 unit유닛 period,피^r리어드 and앤드 the^ð디 exercise엑서사이즈 period피^r리어드 shall섈 be비 a어 period피^r리어드 within위^ð딘 seven세^v븐 days데이즈 from^f프^r럼 the^ð더 last래스트 day데이 of어^v브 the^ð디 offering오^f퍼^r링 period피^r리어드 or오 of어^v브 the^ð더 unit유닛 period.피^r리어드

⑦ 조합원의 행사기간별 우리사주매수선택권 행사 수량은 해당 제공기간에 부여된 우리사주매수선택권 수량을 균등하게 나눈 수량으로 한다. 이 경우 해당 행사기간에 행사하지 아니한 수량은 이월(移越)할 수 없다.

⑧ 조합원이 그 자격을 상실하는 경우에는 우리사주매수선택권을 행사할 수 없다.

(8) A어 member멤버 who후 loses루지즈 his히즈 or오 her허 membership멤버쉽 may메이 not낫 exercise엑서사이즈 employee엠플로이이 stock스탁 purchase퍼처스 options.압션즈

⑨ 우리사주매수선택권 부여회사는 조합원이 우리사주매수선택권 행사에 필요한 자금을 급여공제 등의 방법으로 조합기금에 적립할 수 있도록 지원할 수 있다.
