Enforcement Decree of the Monopoly Regulation and Fair Trade Act, Article 17 (Criteria for the Date of Business Combination)
법 제9조제5항 각 호 외의 부분 본문에 따른 기업결합일은 다음 각 호의 구분에 따른 날로 한다. <개정 2024.8.6>
The date of business combination under the main clause of the provisions preceding the subparagraphs of Article 9 (5) of the Act shall be the date according to the following categories:
1. 다른 회사의 주식을 소유하게 되거나 주식소유비율이 증가하는 경우: 다음 각 목의 날
1. Where shares of another company come to be owned or the shareholding ratio increases: the date according to the following items:
가. 주식회사의 주식을 양수하는 경우에는 주권을 교부받은 날. 다만, 주권이 발행되어 있지 않은 경우에는 주식대금을 지급한 날로 하며, 주권을 교부받기 전 또는 주식대금의 전부를 지급하기 전에 합의ㆍ계약 등에 따라 의결권이나 그 밖의 주식에 관한 권리가 실질적으로 이전되는 경우에는 해당 권리가 이전되는 날로 한다.
(a) When acquiring shares of a stock company: the date the share certificates are delivered. However, where no share certificates have been issued, the date the share price is paid, and where voting rights or other rights relating to the shares are in substance transferred by agreement, contract, or the like before the share certificates are delivered or before all of the share price is paid, the date those rights are transferred;
나. 주식회사의 신주를 유상취득하는 경우에는 주식대금 납입기일의 다음 날
(b) When acquiring new shares of a stock company for value: the day following the payment due date of the share price;
다. 주식회사 외의 회사의 지분을 양수하는 경우에는 지분양수의 효력이 발생하는 날
(c) When acquiring equity interests in a company other than a stock company: the date the acquisition of equity interests takes effect;
라. 가목부터 다목까지의 규정에 해당하지 않는 경우로서 감자(減資), 주식의 소각 또는 그 밖의 사유로 주식소유비율이 증가하는 경우에는 주식소유비율의 증가가 확정되는 날
(d) In cases other than those under items (a) through (c), where the shareholding ratio increases due to capital reduction, cancellation of shares, or other reasons: the date the increase in the shareholding ratio is finalized.
2. 법 제9조제1항제2호에 따른 임원겸임의 경우: 임원이 겸임되는 회사의 주주총회 또는 사원총회에서 임원의 선임이 의결된 날
2. In the case of concurrent holding of officer positions under Article 9 (1) 2 of the Act: the date on which the appointment of the officer was resolved at the general meeting of shareholders or general meeting of members of the company in which the officer concurrently serves
3. 다른 회사와의 합병의 경우: 합병등기일
3. In the case of a merger with another company: the date of registration of the merger
4. 법 제9조제1항제4호에 따른 영업양수(이하 "영업양수"라 한다)의 경우: 영업양수대금의 지급을 완료한 날. 다만, 계약체결일부터 90일을 지나 영업양수대금의 지급을 완료한 경우에는 그 계약체결일부터 90일이 지난 날로 한다.
4. In the case of acquisition of business under Article 9 (1) 4 of the Act (hereinafter referred to as "acquisition of business"): the date payment of the purchase price for the acquisition of business is completed. However, where payment of the purchase price is completed after 90 days from the date the contract was concluded, the date 90 days after the contract date
5. 새로운 회사설립에 참여하는 경우: 배정된 주식의 주식대금 납입기일의 다음 날
