상법 제371조(정족수, 의결권수의 계산)

① 총회의 결의에 관하여는 제344조의3제1항과 제369조제2항 및 제3항의 의결권 없는 주식의 수는 발행주식총수에 산입하지 아니한다.

(1) For^f포 resolutions^r레절루션즈 of어^v브 a어 general제너^r럴 meeting,미팅 the^ð더 number넘버 of어^v브 shares셰어즈 without위^ð다웃 voting^v보우팅 rights^r라잇츠 under언더 Article아터클 344-3 (1) and앤드 Article아터클 369 (2) and앤드 (3) shall섈 not낫 be비 included인클루디드 in인 the^ð더 total토우틀 number넘버 of어^v브 issued이슈드 shares.셰어즈

② 총회의 결의에 관하여는 제368조제3항에 따라 행사할 수 없는 주식의 의결권 수와 제409조제2항 및 제542조의12제4항에 따라 그 비율을 초과하는 주식으로서 행사할 수 없는 주식의 의결권 수는 출석한 주주의 의결권의 수에 산입하지 아니한다. <개정 2014.5.20, 2020.12.29>
