상법 제629조(초과발행의 죄)

회사의 발기인, 이사, 집행임원 또는 제386조제2항 또는 제407조제1항의 직무대행자가 회사가 발행할 주식의 총수를 초과하여 주식을 발행한 경우에는 5년 이하의 징역 또는 1천500만원 이하의 벌금에 처한다.
