Enforcement Decree of the Financial Investment Services and Capital Markets Act, Article 118-10 (Matters concerning Regulation of Other Business Conduct, etc.)
① 법 제117조의7제7항 단서에서 "투자자가 청약의 의사를 먼저 표시하는 등 대통령령으로 정하는 정당한 사유가 있는 경우"란 다음 각 호의 어느 하나에 해당하는 경우를 말한다.
(1) The term "justifiable grounds prescribed by Presidential Decree, such as the investor expressing the intention to subscribe first" in the proviso to Article 117-7 (7) of the Act means any of the following cases:
1. 투자자가 증권의 취득에 관한 청약의 권유를 받지 아니하고 그 청약의 의사를 표시하는 경우
1. Where an investor expresses the intention to subscribe without having been solicited to subscribe to acquire the securities;
2. 법 제117조의7제5항에 따른 온라인소액증권발행인의 요청이 있는 경우
2. Where there is a request from the online small-scale securities issuer under Article 117-7 (5) of the Act;
3. 그 밖에 건전한 거래질서 및 투자자 보호를 저해할 우려가 크지 아니한 경우로서 금융위원회가 정하여 고시하는 경우
3. Other cases publicly notified by the Financial Services Commission where there is little risk of harming sound transaction order and investor protection.
② 법 제117조의7제8항에 따른 증권의 청약 및 발행에 관한 내역은 다음 각 호의 사항으로 한다.
(2) The details concerning the subscription and issuance of securities under Article 117-7 (8) of the Act are as follows:
1. 증권의 취득의 청약에 관한 다음 각 목의 사항
1. The following matters concerning subscription to acquire securities:
가. 전체 투자자의 청약금액 및 수량
(a) The subscription amount and quantity of all investors;
나. 전체 투자자로부터 받은 청약증거금(제118조의11제1항에 따른 청약증거금을 말하며, 이하 "청약증거금"이라 한다) 총액
(b) The total amount of subscription margin (meaning subscription margin under Article 118-11 (1); hereinafter referred to as "subscription margin") received from all investors;
다. 그 밖에 증권의 취득에 관한 청약의 세부사항

가. 전체 투자자의 청약금액이 모집예정금액에 법 제117조의10제3항에 따른 비율을 곱한 금액 이상인지 여부
(a) Whether the subscription amount of all investors is at or above the amount obtained by multiplying the scheduled public offering amount by the ratio under Article 117-10 (3) of the Act;
나. 전체 투자자로부터 온라인소액증권발행인에게 실제 납입될 증권 대금
(b) The securities price to actually be paid to the online small-scale securities issuer by all investors;
다. 그 밖에 증권의 발행에 관한 세부사항
(c) Other details of issuance of securities;
3. 증권의 배정 및 그 대금 납입에 관한 다음 각 목의 사항
3. The following matters concerning allotment of securities and payment of the price:
가. 증권의 취득에 관한 청약을 한 해당 투자자에게 배정된 증권의 가액 및 수량
(a) The value and quantity of securities allotted to the investor who subscribed to acquire the securities;
나. 증권 대금의 납입기일
(b) The payment due date of the securities price;
다. 그 밖에 증권의 배정 및 그 대금 납입에 관한 사항
(c) Other matters concerning allotment of securities and payment of the price;
4. 온라인소액투자중개업자가 투자자에게 청약증거금을 반환하여야 할 경우 그 금액 및 반환 일정 등에 관한 사항
4. Where the online small-scale investment brokerage business entity must return subscription margin to investors, matters concerning the amount and schedule of return, etc.
