상법 제413조(조사ㆍ보고의 의무)

감사는 이사가 주주총회에 제출할 의안 및 서류를 조사하여 법령 또는 정관에 위반하거나 현저하게 부당한 사항이 있는지의 여부에 관하여 주주총회에 그 의견을 진술하여야 한다.
