Enforcement Decree of the Financial Investment Services and Capital Markets Act, Article 238 (Report of Dissolution, etc.)
①청산인은 법 제221조제1항 후단에 따라 다음 각 호의 사항을 해산일부터 30일 이내에 금융위원회에 보고하여야 한다. <개정 2013.8.27>
(1) A liquidator shall report the following matters to the Financial Services Commission within 30 days from the date of dissolution under the latter part of Article 221 (1) of the Act:
1. 해산의 사유와 연월일
1. The grounds for and date of dissolution;
2. 청산인의 성명ㆍ주민등록번호(청산인이 법인인 경우에는 명칭ㆍ사업자등록번호)
2. The name and resident registration number of the liquidator (the name and business registration number, where the liquidator is a corporation).
② 법 제221조제1항제4호 단서에서 "대통령령으로 정하는 경우"란 다음 각 호의 어느 하나에 해당하는 경우를 말한다. <신설 2013.8.27, 2015.10.23, 2016.10.25, 2022.3.22>
(2) The term "cases prescribed by Presidential Decree" in the proviso of Article 221 (1) 4 of the Act means any of the following cases:
1. 유한책임조합원이 다음 각 목의 어느 하나에 해당하는 자인 경우
1. Where the limited partner is any of the following:
가. 「국가재정법」 제9조제4항에 따른 기금관리주체(이에 준하는 자로서 제13조제2항 각 호의 어느 하나에 해당하는 자를 포함한다)
(a) A fund management entity under Article 9 (4) of the National Finance Act (including a person equivalent thereto that falls under any subparagraph of Article 13 (2));
나. 「농업협동조합법」에 따른 농업협동조합중앙회
(b) The National Agricultural Cooperative Federation under the Agricultural Cooperatives Act;
다. 「수산업협동조합법」에 따른 수산업협동조합중앙회
(c) The National Federation of Fisheries Cooperatives under the Fisheries Cooperatives Act;
라. 「신용협동조합법」에 따른 신용협동조합중앙회
(d) The National Credit Union Federation under the Credit Unions Act;
마. 「상호저축은행법」에 따른 상호저축은행중앙회
(e) The Korea Federation of Savings Banks under the Mutual Savings Banks Act;
바. 「새마을금고법」에 따른 새마을금고중앙회
(f) The National Federation of Community Credit Cooperatives under the Community Credit Cooperatives Act;
사. 「우체국예금ㆍ보험에 관한 법률」에 따른 체신관서
(g) A postal authority under the Postal Savings and Insurance Act;
아. 법률에 따라 설립된 법인 또는 단체로서 다음의 어느 하나에 해당하는 자 중에서 금융위원회가 정하여 고시하는 자
(h) A corporation or organization established under statutes that falls under any of the following and is publicly notified by the Financial Services Commission:
1) 공제조합
1) A mutual aid association;
2) 공제회
2) A mutual aid society;
3) 그 밖에 이와 비슷한 법인 또는 단체로서 같은 직장ㆍ직종에 종사하거나 같은 지역에 거주하는 구성원의 상호부조, 복리증진 등을 목적으로 구성되어 공제사업을 하는 법인 또는 단체
3) Another similar corporation or organization formed for the purpose of mutual aid, promotion of welfare, etc. among members engaged in the same workplace or occupation or residing in the same region, and engaged in mutual aid business;
2. 유한책임조합원이 법 제251조제1항에 따라 보험회사가 설정한 투자신탁인 경우
2. Where the limited partner is an investment trust created by an insurance company under Article 251 (1) of the Act;
3. 투자합자조합의 최초 설립일부터 1개월이 지나지 아니한 경우
3. Where one month has not passed since the initial establishment date of the investment limited partnership;
4. 투자합자조합의 유한책임조합원 총수가 1인이 된 날부터 1개월이 지나지 아니한 경우
4. Where one month has not passed since the date on which the total number of limited partners of the investment limited partnership became one.
