Enforcement Decree of the Financial Investment Services and Capital Markets Act, Article 271-22 (Restrictions on Transactions with Interested Persons, etc.)
① 법 제249조의16제1항 각 호 외의 부분 본문에서 "대통령령으로 정하는 이해관계인"이란 다음 각 호의 어느 하나에 해당하는 자를 말한다. <개정 2021.10.21, 2021.12.9>
(1) The term "interested persons prescribed by Presidential Decree" in the main clause of the part preceding the subparagraphs of Article 249-16 (1) of the Act means any of the following persons:
1. 업무집행사원의 임직원과 그 배우자
1. Officers and employees of the managing partner and their spouses;
2. 업무집행사원의 대주주와 그 배우자
2. Major shareholders of the managing partner and their spouses;
3. 업무집행사원의 계열회사로서 다음 각 목의 회사를 제외한 계열회사
3. Affiliates of the managing partner, excluding the following companies:
가. 해당 업무집행사원이 그 집합투자재산을 운용하는 기관전용사모집합투자기구가 투자한 투자대상기업 또는 투자목적회사
(a) An investee company or special purpose company for investment in which an institutional private equity fund whose collective investment property is managed by that managing partner has invested;
나. 가목의 투자대상기업이나 투자목적회사에 제271조의10제16항 각 호의 방법으로 공동 운용함으로써 그 투자대상기업이나 투자목적회사에 투자한 다른 기관전용사모집합투자기구와 그 업무집행사원
(b) Another institutional private equity fund, and its managing partner, that has invested in the investee company or special purpose company for investment in item (a) by joint management through the methods in the subparagraphs of Article 271-10 (16);
다. 그 밖에 금융시장의 안정 또는 건전한 거래질서를 해칠 우려가 없는 회사로서 금융위원회가 정하여 고시하는 회사
(c) Other companies publicly notified by the Financial Services Commission as unlikely to harm the stability of financial markets or sound trading order.
② 법 제249조의16제1항제3호에서 "대통령령으로 정하는 거래"란 다음 각 호의 어느 하나에 해당하는 거래를 말한다. <개정 2021.10.21>
(2) The term "transactions prescribed by Presidential Decree" in Article 249-16 (1) 3 of the Act means any of the following transactions:
1. 제85조 각 호의 어느 하나에 해당하는 거래
1. Transactions falling under any subparagraph of Article 85;
2. 그 기관전용사모집합투자기구 사원 전원이 동의한 거래
2. Transactions consented to by all partners of the institutional private equity fund concerned;
3. 그 밖에 금융시장의 안정 또는 건전한 거래질서를 해칠 우려가 없는 거래로서 금융위원회가 정하여 고시하는 거래
3. Other transactions publicly notified by the Financial Services Commission as unlikely to harm the stability of financial markets or sound trading order.
③ 법 제249조의16제4항 각 호 외의 부분 전단에서 "대통령령으로 정하는 비율"이란 100분의 5를 말한다.
(3) The term "ratio prescribed by Presidential Decree" in the former part of the part preceding the subparagraphs of Article 249-16 (4) of the Act means 5/100.
④ 법 제249조의16제4항 각 호 외의 부분 전단에서 "대통령으로 정하는 투자대상자산"이란 제86조제3항 각 호의 어느 하나에 해당하는 투자대상자산을 말한다.
(4) The term "assets to be invested in prescribed by Presidential Decree" in the former part of the part preceding the subparagraphs of Article 249-16 (4) of the Act means assets to be invested in falling under any subparagraph of Article 86 (3).
⑤ 법 제249조의16제4항 각 호 외의 부분 후단에 따라 기관전용사모집합투자기구의 집합투자재산으로 취득하는 증권에 대한 시가평가를 하는 경우 제260조제1항 및 제2항에 따른다. <개정 2021.10.21>
(5) When valuing at market price securities acquired with the collective investment property of an institutional private equity fund under the latter part of the part preceding the subparagraphs of Article 249-16 (4) of the Act, paragraphs (1) and (2) of Article 260 shall apply.
⑥ 법 제249조의16제4항제2호에서 "대통령령으로 정하는 자"란 그 기관전용사모집합투자기구 출자총액의 100분의 30 이상의 출자지분을 보유한 유한책임사원을 말한다. <개정 2021.10.21>
(6) The term "person prescribed by Presidential Decree" in Article 249-16 (4) 2 of the Act means a limited partner holding an equity interest of 30/100 or more of the total contributions to the institutional private equity fund.
