자본시장과 금융투자업에 관한 법률 제316조(실질주주명부의 작성 등)

① 제315조제3항에 따라 통지받은 발행인 또는 명의개서를 대행하는 회사는 통지받은 사항과 통지 연월일을 기재하여 실질주주명부를 작성ㆍ비치하여야 한다.

② 예탁결제원에 예탁된 주권의 주식에 관한 실질주주명부에의 기재는 주주명부에의 기재와 같은 효력을 가진다.

③ 제1항에 따른 발행인 또는 명의개서를 대리하는 회사는 주주명부에 주주로 기재된 자와 실질주주명부에 실질주주로 기재된 자가 동일인이라고 인정되는 경우에는 주주로서의 권리 행사에 있어서 주주명부의 주식수와 실질주주명부의 주식수를 합산하여야 한다.
